Terms of Service

1. Acceptance of Terms

Welcome to VersiClass. By accessing or using our platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our service.

These Terms constitute a legally binding agreement between you and VersiClass ("we," "us," or "our"). We may modify these Terms at any time, and your continued use of the service constitutes acceptance of the modified Terms.

2. Description of Service

VersiClass is a class management platform designed for fitness professionals ("Trainers") and their clients ("Clients"). Our service enables:

  • Trainers to create and manage classes, track attendance, and collect payments
  • Clients to discover classes, register, and purchase class packages
  • Payment processing between Trainers and Clients via Stripe
  • Communication and scheduling tools for class management
  • Analytics to improve user experience (with your consent)

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time without prior notice.

3. User Accounts

Account Registration

To use VersiClass, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

Account Types

VersiClass offers two types of accounts:

  • Trainer Accounts: For fitness professionals who create and manage classes. Trainers may subscribe to paid plans with additional features.
  • Client Accounts: For individuals who register for and attend classes. Client accounts are free.

Age Requirements

You must be at least 18 years old to create an account. By using VersiClass, you represent and warrant that you meet this age requirement.

4. Trainer Terms

Subscription Plans

Trainers may choose from various subscription tiers (Free, Starter, Pro) with different features and limits. Paid subscriptions are billed monthly or annually as selected. You may upgrade, downgrade, or cancel your subscription at any time through your account settings.

Payment Collection

To collect payments from Clients, Trainers must connect a Stripe account via Stripe Connect. By doing so, you agree to Stripe's Connected Account Agreement. Payments are processed directly to your connected Stripe account. VersiClass collects a platform fee of 5% on each transaction, which is automatically deducted at the time of payment. You will receive 95% of the transaction amount according to Stripe's standard payout schedule (typically 2-7 business days after a transaction, depending on your region and account standing).

Trainer Responsibilities

As a Trainer, you agree to:

  • Provide accurate class information (times, locations, descriptions)
  • Honor your cancellation and refund policies as displayed to Clients
  • Maintain appropriate qualifications and certifications for the services you offer
  • Comply with all applicable laws and regulations in your jurisdiction
  • Ensure your classes are conducted safely and professionally

Independent Contractor Status

Trainers are independent contractors, not employees of VersiClass. You are solely responsible for your own taxes, insurance, and compliance with applicable employment and business laws.

Chargebacks and Payment Disputes

Trainers are solely responsible for chargebacks and payment disputes. If a Client disputes a charge with their financial institution, the disputed amount plus any chargeback fees assessed by Stripe will be deducted from your connected Stripe account balance. VersiClass is not responsible for chargebacks resulting from your services, cancellations, refund policies, or Client dissatisfaction. You agree to respond promptly to dispute inquiries and provide evidence as requested.

Account Debit Authorization

You authorize VersiClass and Stripe to debit your connected Stripe account for:

  • Refunds you have agreed to provide but failed to process
  • Platform fees owed to VersiClass
  • Chargebacks, disputes, and associated fees
  • Fines or penalties resulting from violations of these Terms
  • Amounts required to resolve Client disputes

If your account has insufficient funds, you remain liable for these amounts and authorize VersiClass to recover them through other means, including future payouts.

Payout Timing and Reserves

Payouts are processed according to Stripe's standard payout schedule for your region (typically 2-7 business days after a transaction). VersiClass does not control or guarantee payout timing, which is subject to Stripe's terms and your account standing. Your account standing may be affected by violations of these Terms, Client disputes, chargeback history, and compliance with service delivery requirements. VersiClass may require certain Trainers to maintain a reserve balance in their connected Stripe account based on transaction volume, chargeback history, or risk assessment. Reserved funds will be released according to a schedule determined by VersiClass and communicated to the Trainer.

Service Delivery Requirements

As a Trainer, you must:

  • Deliver services as advertised in your class descriptions
  • Conduct classes at the scheduled times and locations, or reschedule with adequate notice
  • Clearly communicate your cancellation and no-show policies to Clients
  • Not charge for services you do not deliver

Failure to deliver paid services as described is grounds for immediate account suspension, refund of affected payments, and potential termination.

Account Monitoring and Compliance

VersiClass monitors transaction patterns, Client complaints, and chargeback rates. We reserve the right to immediately suspend or terminate your account without prior notice if:

  • Your chargeback rate exceeds 1% of total transactions in any 30-day period
  • We receive credible fraud reports or detect suspicious activity patterns
  • You fail to deliver services Clients have paid for
  • You provide false or misleading business information
  • You violate these Terms or Stripe's terms of service

We employ automated and manual fraud detection. If we detect suspicious patterns (unusual transaction volumes, rapid account creation, coordinated chargebacks, etc.), we may freeze your account and withhold payouts pending investigation. False or fraudulent business information is grounds for immediate termination and forfeiture of pending payouts. Trainers must maintain accurate business information and may be required to provide additional verification documents upon request.

VersiClass may issue warnings for first-time or minor violations before taking enforcement action. Serious violations (fraud, safety issues, high chargeback rates, non-delivery of services) may result in immediate suspension without warning. Account suspension does not eliminate your obligation to deliver services already purchased by Clients.

5. Client Terms

Client-Trainer Relationships

Clients join VersiClass through invitation links provided by Trainers or by accepting a direct invitation. By accepting an invitation, you become associated with that Trainer's account. Clients may only purchase classes and packages from their associated Trainer. To work with a different Trainer, you must create a new account or contact support. VersiClass is not responsible for incorrect associations resulting from shared or misused invitation links.

Class Registration

When you register for a class, you enter into an agreement directly with the Trainer. VersiClass facilitates this connection but is not a party to the agreement between you and the Trainer.

Payments and Refunds

Payments for classes and packages are processed through Stripe. Refund policies are set by individual Trainers and displayed at the time of purchase. Please review the Trainer's cancellation policy before registering.

Class Packages and Credits

Class packages and credits are non-transferable and may have expiration dates as set by the Trainer. Unused credits may not be refundable except as required by law or the Trainer's policy.

Health and Safety

By participating in fitness classes, you acknowledge that physical activity involves inherent risks. You are responsible for determining your own fitness level and consulting with a healthcare provider before starting any exercise program.

6. Acceptable Use

You agree not to:

  • Use the service for any illegal purpose or in violation of any laws
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the service or servers
  • Attempt to gain unauthorized access to any part of the service
  • Use automated means to access the service without our permission
  • Harass, abuse, or harm other users
  • Post false, misleading, or fraudulent content
  • Violate the intellectual property rights of others
  • Use the service to send spam or unsolicited communications
  • Create fake client accounts or fabricate registrations (Trainers)
  • Manipulate or solicit fraudulent reviews (Trainers)
  • Engage in price gouging or deceptive pricing practices (Trainers)
  • Operate pyramid schemes, multi-level marketing, or other prohibited business models (Trainers)

We reserve the right to suspend or terminate accounts that violate these terms.

7. Intellectual Property

The VersiClass name, logo, and all related graphics, software, and content are owned by VersiClass or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of content you create or upload to VersiClass (such as class descriptions and business information). By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with providing the service.

8. Payment Terms

Payment Processing

Payment processing is provided by Stripe and is subject to the Stripe Connected Account Agreement. By creating a Trainer account and connecting to Stripe, you agree to be bound by Stripe's terms. VersiClass is not responsible for Stripe's services, including payment processing errors, payout delays, or account suspensions initiated by Stripe.

Subscription Fees

Trainer subscription fees are charged in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We may change our fees upon 30 days' notice.

Platform Fees

VersiClass charges a platform fee of 5% on all payments processed through the service. This fee is automatically deducted at the time of each transaction. Trainers receive 95% of the transaction amount, which is transferred directly to their connected Stripe account and paid out according to Stripe's standard schedule.

Taxes

You are responsible for all applicable taxes related to your use of the service and any payments you receive or make through the platform. VersiClass does not withhold taxes on behalf of Trainers. You are responsible for reporting and paying all applicable income, sales, and other taxes.

Tax Reporting

Stripe will issue tax forms (including 1099-K forms where applicable) directly to Trainers based on payments received through their connected accounts. VersiClass does not issue tax forms for payments processed through Stripe.

Refund Fee Policy

When a full refund is issued, VersiClass refunds its platform fee proportionally. For partial refunds, the platform fee is refunded proportionally to the refund amount. In cases of chargebacks, Stripe automatically handles fee reversals.

9. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

We may suspend or terminate your account if you violate these Terms, engage in fraudulent or illegal activity, or for any other reason at our sole discretion. Upon termination:

  • Your right to use the service will immediately cease
  • Trainers will receive any pending payouts for completed transactions, minus applicable fees
  • Clients may lose access to unused credits (subject to applicable refund policies)
  • We may retain transaction records, payment history, and communications for up to 7 years after account termination as required for tax, legal, and dispute resolution purposes. Personal information will be handled according to our Privacy Policy.

A transaction is considered "completed" when payment has been successfully processed and either (a) the associated class has occurred, or (b) 30 days have passed since purchase without a refund request, whichever comes first.

If a Trainer's account is suspended or terminated, Clients with unused credits or upcoming class registrations will be notified. VersiClass may, at its sole discretion, facilitate refunds to affected Clients. Trainers remain liable for refunds owed to Clients affected by their account termination.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the service will be uninterrupted, secure, or error-free. We are not responsible for the actions, content, or services of Trainers or any third parties.

VersiClass is a platform that connects Trainers and Clients. We do not employ Trainers, and we are not responsible for the quality, safety, or legality of classes offered through the platform.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERSICLASS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless VersiClass and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Any content you post or submit through the service
  • Chargebacks and payment disputes related to your services (Trainers)
  • Fraud or misrepresentation in your class offerings (Trainers)
  • Failure to deliver purchased services (Trainers)
  • Violations of payment card network rules (Trainers)

13. Dispute Resolution

Disputes Between Trainers and Clients

Trainers are primarily responsible for resolving disputes with their Clients regarding services, refunds, and class-related matters. VersiClass may intervene in disputes at its sole discretion but is not obligated to do so. If VersiClass does intervene, its decision shall be final and binding on all parties. Repeated or unresolved disputes may result in account review, suspension, or termination.

Disputes with VersiClass

Any disputes arising from these Terms or your use of the service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the United States, and the arbitrator's decision shall be final and binding.

You agree to waive any right to a jury trial or to participate in a class action lawsuit. This arbitration agreement does not prevent you from filing a complaint with any government agency.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also provide notice via email or through the service.

Your continued use of VersiClass after any changes indicates your acceptance of the updated Terms.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and VersiClass.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

17. Force Majeure

VersiClass is not liable for failures or delays in providing the service caused by circumstances beyond our reasonable control, including but not limited to: Stripe or payment network outages, internet service disruptions, natural disasters, government actions, or other force majeure events. In such events, we will make reasonable efforts to restore service and notify affected users.
